Logo Contest – Participation Agreement

This Participation Agreement (the “Agreement”) is a binding contract between you (the “Participant”, “you”) and the FirstDoor project (“FirstDoor”, “we”, “us”), currently in the process of incorporation as a legal entity in the Dubai Multi Commodities Centre (DMCC) free zone, United Arab Emirates, and operating firstdoor.app. The FirstDoor Logo Contest (the “Contest”) is organised by the founders/operators of the project on behalf of, and for the account of, the FirstDoor entity to be incorporated. Any user who submits a logo design (a “Submission”) or casts a vote during the Contest shall be deemed to have unconditionally and irrevocably accepted every provision of this Agreement, without the need for any additional declaration or signature.

Plain-language summary: The moment you submit, all intellectual property in the four winning designs (1st, 2nd, 3rd and the FirstDoor’s Pick) is transferred to FirstDoor. Prizes are paid within 15 days from a personal crypto wallet of the FirstDoor founders, in an asset and network designated by FirstDoor. Winners are selected by community voting. This summary does not replace the legal terms below.

1. Status of the Parties and Transfer of Rights

  1. FirstDoor has not yet completed its incorporation under DMCC as of the date of this Agreement. The Contest is organised by the founders/operators of the project in the name and for the account of the FirstDoor entity to be incorporated.
  2. The Participant agrees that all rights, licences and ownership transfers granted to FirstDoor under this Agreement shall automatically and without need of any further act, document or consideration pass to the FirstDoor legal entity to be incorporated under DMCC, and to its successors and assigns, immediately upon registration of that entity.
  3. During the period between the entry into force of this Agreement and the registration of the FirstDoor entity, all acts performed on behalf of FirstDoor (including the payment of prizes) are carried out by the founders/operators in the name and for the account of the project.

2. Subject of the Contest

The Contest invites designers to submit original logo designs for FirstDoor. The winning designs identified below will be adopted as brand assets of FirstDoor and may be used worldwide across all media, including digital, print and merchandising channels.

3. Contest Timeline

Submissions received after the deadline will not be considered. FirstDoor reserves the right to amend the timeline in cases of force majeure, technical failure or fraudulent activity; any such changes will be announced on firstdoor.app.

4. Eligibility

To participate, the Participant must:

  1. Be at least 18 years of age at the time of submission;
  2. Have full legal capacity to enter into a binding contract under the laws of their country of residence;
  3. Not be a current founder, operator, advisor of FirstDoor, or an immediate family member of any of the foregoing;
  4. Not reside in a jurisdiction where participation in the Contest or receipt of a prize via crypto transfer is prohibited or restricted by UAE/Dubai regulations or applicable international sanctions lists (UN, OFAC, EU).

FirstDoor reserves the right to verify eligibility at any stage and to disqualify any Participant who fails to meet, or refuses to substantiate, these requirements.

5. Submission Requirements

  1. Originality. Each Submission must be the Participant’s original work, created independently and exclusively for this Contest. Third-party material (including stock graphics, AI-generated assets trained on copyrighted content without proper licensing, fonts requiring commercial licences, or third-party trademarks) may not be used unless the Participant holds all necessary rights and licences.
  2. Format. Submissions must be provided in vector format (SVG, AI or EPS) accompanied by high-resolution PNG previews. Colour and monochrome variants are encouraged.
  3. One identity, one entry track. A Participant may submit multiple distinct concepts but must enter under a single, verifiable identity. Entries from duplicate accounts, bots, or with manipulated votes will be disqualified.
  4. Content standards. Submissions must not contain content that is unlawful, defamatory, obscene, hateful, discriminatory, or otherwise inconsistent with FirstDoor’s brand values in our reasonable judgment.

6. Prizes

Total prize pool: USD $350 equivalent. The “FirstDoor’s Pick” prize is awarded independently of the voting ranking, at FirstDoor’s sole discretion, based on criteria such as brand alignment, originality, or strategic usage potential. If the same Participant qualifies for both a vote-based prize and the FirstDoor’s Pick, that Participant will receive only the single higher prize; the second prize will pass to the next eligible Participant on the list.

Payment Method

Prizes are paid within fifteen (15) calendar days from the announcement of winners, by transfer from a personal crypto wallet of the FirstDoor founders to a valid wallet address provided by the winner. The Participant expressly acknowledges that, since FirstDoor does not yet exist as a legal entity at this stage, payment is made from the founders’ personal wallet, in the name and for the account of the project; this fact does not in any way affect the validity of the payment, and the Participant agrees not to bring any further personal claim against the FirstDoor founders on that basis. The crypto asset (e.g., USDT, USDC or BTC), the network (e.g., TRC-20, ERC-20, BEP-20) and all transfer parameters are determined exclusively by FirstDoor; the winner may not request any other asset or network. All risks and losses arising from incorrect wallet addresses, network choice, gas/transaction fees or price volatility of the crypto asset are borne solely by the winner. The winner is solely responsible for any taxes, duties, fees and reporting obligations arising from receipt of the prize. Prizes may not be redeemed for cash or transferred to a third party.

7. Judging – Selection by Community Vote

  1. After the submission deadline, all valid Submissions are opened for voting on firstdoor.app.
  2. Each user has a total of 3 (three) votes. A user may distribute these three votes across three different Submissions or use them on different Submissions of their choice; however, no user may cast more than one vote on the same Submission.
  3. No Participant may vote for their own Submission; any such votes will be invalidated and, where appropriate, the Participant will be disqualified.
  4. 1st, 2nd and 3rd Place are awarded, in order, to the three Submissions receiving the highest number of valid votes at the close of the voting period. In the event of a tie, FirstDoor has the discretion to break the tie.
  5. The FirstDoor’s Pick prize may be selected by FirstDoor before, during, or after the voting period and is independent of the voting ranking.
  6. FirstDoor reserves the right to invalidate votes, disqualify Submissions and reorder the ranking where multi-account abuse, bots, fake votes or organised vote-collection is detected. All judging and disqualification decisions are final and not subject to appeal.

8. Intellectual Property – Full Assignment of All Winning Submissions

  1. Scope of assignment. Each of the four winning Submissions (1st, 2nd, 3rd Place and FirstDoor’s Pick) identified in Section 6 is, upon payment of the corresponding prize and on an irrevocable basis, fully and exclusively assigned to FirstDoor (and, by virtue of Section 1.2, to the legal entity to be incorporated under DMCC) on a worldwide, perpetual, royalty-free, sublicensable and further-assignable basis. This assignment covers, without limitation, all economic copyrights, trademark rights (including rights to apply for and register trademarks), design rights, rights pertaining to domain names and social-media handles, and all other intellectual and industrial property rights.
  2. Moral rights. To the maximum extent permitted by applicable law, the Participant waives the exercise of all moral rights (in particular the rights of integrity and attribution) and consents to FirstDoor adapting, modifying, recolouring, segmenting, combining with other brands, and using the Submission without crediting the designer.
  3. Further assurances. The winning Participant agrees to execute, free of charge, all additional documents reasonably required for FirstDoor to record, register or enforce its ownership in any jurisdiction (including assignment forms, notarisations, and trademark consents). This obligation continues to apply after the DMCC entity is incorporated.
  4. Non-winning Submissions. Copyright in non-winning Submissions remains with the Participant. However, the Participant grants FirstDoor a non-exclusive, royalty-free, worldwide and perpetual licence to display non-winning Submissions for the limited purposes of administering the Contest, displaying the voting interface, and promoting the results (including on firstdoor.app, social media and press materials).
  5. Use of name and likeness. Each Participant authorises FirstDoor to use their name, designer handle, country of residence, and Submission imagery in connection with the announcement of winners and promotion of the Contest, except where prohibited by law.

9. Participant Warranties

By submitting an entry, the Participant represents and warrants that:

  1. The Submission is wholly original and was created independently by the Participant;
  2. The Submission does not infringe any third-party copyright, trademark, design right, right of privacy or right of publicity;
  3. The Participant has full authority to grant the assignments and licences set out in Section 8;
  4. Any portion of the Submission produced with AI tools is covered by a commercial-use licence of the underlying model;
  5. All information provided is true, current and complete, and participation does not breach any contract, policy or law applicable to the Participant.

The Participant agrees to indemnify and hold harmless FirstDoor and its founders personally against any claim, loss, damage or expense (including legal fees and trademark cancellation costs) arising from a breach of these warranties.

10. Privacy and Personal Data

FirstDoor processes personal data submitted in connection with the Contest (such as name, email, country of residence, crypto wallet address) for the purposes of administering the Contest, paying prizes, complying with legal obligations and communicating with Participants. Processing is carried out in accordance with the UAE Federal Personal Data Protection Law (Federal Decree-Law No. 45/2021 – PDPL) and, to the extent applicable, the GDPR, and with the FirstDoor Privacy Policy available on firstdoor.app. The Participant acknowledges that personal data may be transferred to and processed in jurisdictions outside the UAE.

11. Disqualification

FirstDoor may, at its sole discretion, disqualify any Participant or Submission that:

12. Limitation of Liability

To the maximum extent permitted by law, FirstDoor and its founders shall not be liable for any indirect, incidental, consequential, special or punitive damages arising out of or related to the Contest or this Agreement, including those arising from crypto price volatility, network congestion, wallet-address errors or transfer delays. The aggregate liability of FirstDoor (and its founders) to any Participant in connection with the Contest shall not exceed the value of the prize that Participant is eligible to receive (or USD $50 if the Participant is not a winner).

13. Modifications and Termination

FirstDoor reserves the right to modify, suspend or terminate the Contest, or to amend this Agreement, in cases of force majeure, technical failure, fraud or legal requirement. Material changes will be announced on firstdoor.app.

14. Governing Law and Dispute Resolution

  1. Governing law. This Agreement shall be governed by and construed in accordance with the laws in force in the Emirate of Dubai and, to the extent applicable, the federal legislation of the United Arab Emirates, together with, in matters concerning intellectual property and commercial relations, the generally accepted principles of international law (including the relevant WIPO conventions and the Berne Convention).
  2. Jurisdiction. The Courts of Dubai shall have exclusive jurisdiction over any dispute arising out of or in connection with this Agreement. FirstDoor reserves the right, at its sole option, to refer any such dispute to binding arbitration under the Dubai International Arbitration Centre (DIAC) Rules, with the seat of arbitration in Dubai and the language of arbitration in English.
  3. Injunctive relief. Nothing in this Section limits FirstDoor’s right to seek injunctive or other equitable relief in any competent court of any jurisdiction to protect its intellectual property rights.

15. General Provisions

  1. Entire agreement. This Agreement, together with the Contest announcement and the Privacy Policy published on firstdoor.app, constitutes the entire agreement between the parties regarding the Contest.
  2. Severability. If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
  3. No waiver. Failure by FirstDoor to enforce any right shall not constitute a waiver of that right.
  4. Assignment. The Participant may not assign this Agreement without FirstDoor’s prior written consent. FirstDoor may freely assign its rights and obligations to the legal entity to be incorporated under DMCC, to any group company, or to any successor.
  5. Language. In the event of any inconsistency between the English version of this Agreement and any translated version, the English version shall prevail.

16. Automatic Acceptance

Submitting a Submission to the Contest, casting a vote, or confirming a similar “I agree” action on firstdoor.app constitutes the unconditional and irrevocable acceptance of this Agreement and of all undertakings contained herein, without the need for any further signature – in particular: the in-formation status set out in Section 1, the full assignment to FirstDoor of all intellectual property rights in the four winning Submissions under Section 8, the personal-wallet crypto payment terms under Section 6, and the Dubai law / jurisdiction clauses under Section 14. The Participant is deemed, at the moment of entering the Contest, to have read, understood and agreed to be bound by this Agreement.
